Acceptance of these terms
These Terms of Use (the “Terms”) are a binding agreement between you and CGS Health (“CGS Health,” “we,” “us,” and “our”) governing your access to and use of the website located at this domain and any related products and services we offer (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.
Who we are
CGS Health is an independent third-party administrator. The Services provide general information about our company and offerings. Nothing on the Services constitutes medical, legal, tax, or insurance advice, and the Services do not create any insurer–insured, broker–client, or provider–patient relationship.
Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. Certain features — such as the member, employer, producer, or provider portals — may require an account and are subject to additional terms. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
Permitted use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own informational and business purposes, subject to these Terms. You agree not to:
- use the Services in any way that violates any applicable law or regulation;
- copy, reproduce, distribute, or create derivative works from any part of the Services except as expressly permitted;
- attempt to gain unauthorized access to any portion of the Services, other accounts, or our systems or networks;
- introduce viruses, malware, or other harmful code, or otherwise interfere with the proper operation of the Services;
- use any robot, scraper, or other automated means to access the Services or harvest information; or
- use the Services to transmit unsolicited communications or to impersonate any person or entity.
Intellectual property
The Services and their entire contents, features, and functionality — including text, graphics, logos, icons, images, and software — are owned by CGS Health or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The CGS Health name, the CGS Health logo, and all related names and marks are trademarks of CGS Health or its affiliates. You may not use these marks without our prior written permission.
Health plan and insurance information
Information on the Services about plans, networks, benefits, and pricing is provided for general reference and is subject to the actual terms of the applicable plan documents, summary plan descriptions, and insurance contracts. In the event of any conflict, those governing documents control. Benefit availability, eligibility, and coverage vary by plan and are determined solely under the applicable plan.
Third-party links and services
The Services may contain links to third-party websites and services — including network provider directories, pharmacy benefit managers, telemedicine providers, and portal logins — that are not owned or controlled by CGS Health. We provide these links for convenience only and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.
Disclaimers
The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. CGS Health does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information on the Services is accurate, complete, or current.
Limitation of liability
To the fullest extent permitted by law, CGS Health and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of (or inability to use) the Services, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.
Indemnification
You agree to defend, indemnify, and hold harmless CGS Health and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
Changes to the Services and these terms
We may modify or discontinue the Services, in whole or in part, at any time without notice. We may also revise these Terms from time to time. The most current version will always be posted on this page with its effective date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
Governing law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Connecticut for the resolution of any such dispute.
